UTAG Business - Bylaws

ARTICLE I
Name and Mission Statement

SECTION 1. The name of the Association shall be the Utah Association of Geocachers (UTAG).

SECTION 2. UTAG strives to advance the sport of geocaching throughout the state of Utah. We endeavor to accomplish this mission by:
(a) Encouraging fellowship and fraternity amongst Utah geocachers through regular social activities.
(b) Fostering geocaching etiquette and responsible stewardship of our public lands.
(c) Raising public awareness and understanding of geocaching through effective use of media relations.
(d) Ensuring access to public lands for geocaching activities by working as a liaison with public land-use agencies.
(e)Promoting geocaching as a worthwhile family-oriented outdoor activity.

SECTION 3. UTAG shall not be conducted or operated for profit and no part of any profits or remainder or residue from dues or donations to UTAG shall inure to the benefit of any member or individual.

ARTICLE II
Eligibility/Membership/Dues

SECTION 1. UTAG Membership. Each applicant for membership shall provide UTAG with name, age, address, phone, email address and geocaching name and other information deemed necessary for contact and identification of applicant. Once an applicant has provided the above information, the applicant shall be considered a member of UTAG.

SECTION 2. Dues. There shall be no initiation or membership dues unless deemed necessary by vote of the Officers of UTAG.

SECTION 3. Member in Good Standing. To qualify as a member in good standing the member must have:
(a) Agreed to abide by the bylaws and rules of UTAG;
(b) In the last year, either found a Utah traditional cache or attended an event cache in Utah; and
(c) Must appear on the roll of members for the current year.

SECTION 4. Roll of Members. At a time convenient to the Secretary after January 1st of each year, an email shall be sent to all members whose name appeared on the roll of members from the previous year. Only those members that reply to the email or otherwise verify their desire to continue as a member may appear on the roll of members for the current year.

ARTICLE III
Meetings

SECTION 1. General Membership Meetings. There shall be an annual general membership meeting of UTAG each year during the month of May, the place, date, and hour to be designated by the Officers. The quorum for the annual meeting shall be ten members in good standing on the day of the meeting.

SECTION 2. Special General Membership Meetings. Special general membership meetings of UTAG may be called by the President or by a majority vote of the Officers, or shall be called by the Secretary upon receipt of a petition signed by ten members of UTAG who are in good standing. Such meeting shall be held at such place, date, and hour as may be designated by the Officers. The quorum for such a meeting shall be ten members in good standing on the day of the meeting.

SECTION 3. Officers’ Meetings. The first meeting of the Officers shall be held within a reasonable time following the close of the election. Other meetings of the Officers shall be held at such times and places as are designated by the President or by majority vote of the Officers. Notice of each meeting shall be emailed by the Secretary to each Officer. The Officers may also conduct their business by mail, FAX, computer, or telephone conference call through the Secretary, or by such other means as the Officers find convenient.

SECTION 4. Notice of Meetings. Notice of membership meetings shall be emailed by the Secretary to each member at least 14 days prior to the date of the meeting and posted on the UTAG website. During any period that UTAG does not have an operating website, posting of an event cache identified as a UTAG activity on the geocaching.com website shall also constitute valid notice to members of a membership meeting, including all requirements of timely advance notice.

ARTICLE IV
Officers

SECTION 1. Officers. UTAG's officers shall consist of a President, 1st Vice-President, 2nd Vice-President, Secretary, and Treasurer. The Officers shall have general supervision of the affairs of UTAG.
(a) The President shall preside at all meetings, and shall have the duties and powers normally incident to the office of President in addition to those particularly specified in these bylaws.
(b) The 1st Vice-President shall have the duties and exercise the powers of the President in case of the President's absence, death or incapacity and shall fulfill the duties and powers normally incident to the office of Vice-President, and shall have such powers and discharge such duties as may be assigned to him or her by the Officers.
(c) The 2nd Vice-President shall have the duties and exercise the powers of the President in case of the President's and the 1st Vice-President’s absence, death or incapacity and shall fulfill the duties and powers normally incident to the office of 2nd Vice-President, and shall have such powers and discharge such duties as may be assigned to him or her by the Officers.
(d) The Secretary shall keep a record of all meetings of UTAG, and meetings of the Officers, and of all votes taken, and of all matters of which a record shall be ordered by the Officers. The Secretary shall also have charge of the correspondence, notify members of meetings, notify officers of their election to office, keep a roll of members of UTAG and their addresses and carry out such other duties as are prescribed in these bylaws or assigned to him or her by the Officers.
(e) The Treasurer shall collect and receive all money due or belonging to UTAG and carry out such other duties as are prescribed in these bylaws or assigned to him or her by the Officers. Moneys shall be deposited in a cashbox or bank approved by the Officers, in the name of UTAG. The books shall at all times be open to inspection by the Officers and a report shall be given as requested by the Officers of the condition of UTAG's finances. At the general membership meeting or on the UTAG website once a year, an accounting shall be rendered of all moneys received and expended during the previous fiscal year.

SECTION 2. Vacancies. Any vacancies occurring among the Officers shall be filled until the next annual election by a majority vote of all the Officers; except that a vacancy in the office of President shall be filled automatically by the 1st Vice-President.

ARTICLE V
UTAG Year

SECTION 1. Fiscal Year. UTAG's fiscal year shall begin on the 1st day of January and end on the last day of December.

SECTION 2. Official Year. UTAG's official year shall begin on the day of the annual general membership meeting in May immediately at the conclusion of the meeting and shall continue until the end of the next general membership meeting. In the event that an annual general membership meeting is not held, the official year shall begin on June 1st and end on the following May 31st.

SECTION 3. Term of Office. The elected Officers shall take office immediately following the election and each retiring officer shall turn over to his successor in office all properties and records pertaining to that office.

ARTICLE VI
Voting, Nominations, Elections

SECTION 1. Eligibility to Vote. Only members in good standing are eligible to vote at meetings. For elections, only members in good standing when the election commences are eligible to vote. The election commences when nominations begin to be accepted.

SECTION 2. Methods of Voting. Voting shall be conducted by one of two methods--in person voting at a Membership Meeting or by an electronic ballot. Electronic ballot is the preferred method in order to foster wide participation in the voting.

SECTION 3. Nominations and Balloting. Electronic balloting shall be preferred.
(a) In the event that elections are held at a General Meeting of UTAG, Nominations shall be open until closed by a motion that is seconded and passed just prior to balloting. Nominees must be members in good standing, present at the meeting and shall denote willingness to serve before balloting begins, except in the case of a write-in candidate who may indicate a willingness to serve within 72 hours of the end of the election. Voting shall be by secret ballot if requested by ten or more members in good standing, prior to the beginning of voting.
(b) For electronic voting, the officers shall schedule the election process including nominations, acceptance, campaigning and the conducting of the election in a way that supports participation by as many members in good standing as possible. Nominees must state their willingness to serve prior to the commencement of electronic balloting, except in the case of a write-in candidate who may indicate a willingness to serve within 72 hours of the end of the election. If electronic balloting cannot be reasonably scheduled and completed prior to the date of the annual general meeting, then the election shall take place at the meeting.

SECTION 4. Standard for Voting Results. The candidate receiving the greatest number of votes for each office shall be declared elected. Propositions, other than bylaws, put before the members shall pass if supported by the majority of those voting.

SECTION 5. Election Results. Election results shall be announced immediately following the close of elections and shall be posted on UTAG website.

ARTICLE VII
Committees
The Officers may appoint standing or special committees to advance the work of UTAG. Such committees shall always be subject to the final authority of the Officers.

ARTICLE VIII
Bylaw Amendments

Amendments to the bylaws may be proposed by the Officers or by written petition addressed to the Secretary signed by three members in good standing. Amendments proposed by such petition shall be promptly considered by the Officers. The proposed amendment shall be submitted to the members with a recommendation of the Officers. The vote on the proposed amendment shall be by electronic ballot or at a general membership meeting. A favorable vote of 2/3 of the members in good standing participating in the vote shall be required to effect such amendment.

ARTICLE IX
Dissolution
UTAG may be dissolved at any time by the written consent of not less than 2/3 of the members in good standing. In the event of dissolution of UTAG, other than for purposes of reorganization, whether voluntary or involuntary or by operation of law, none of the assets of UTAG nor any proceeds thereof shall be distributed to any members of UTAG. After payment of the debts of UTAG its assets shall be given to a charitable organization selected by the Officers.

ARTICLE X
Parliamentary Authority

SECTION 1. The rules contained in the current edition of Robert's Rules of Order, Newly Revised, shall govern the Association in all cases in which they are not inconsistent with these bylaws and any other special rules of order the Association may adopt.
